How do we charge? A simple approach

Advisory Services

  • We do not normally charge for an initial meeting.
  • General consultancy advice is charged on the meter, but at very competitive hourly rates.
  • We will always estimate fees and keep you advised of fees accrued against your budget.
  • For (defined) projects covering a period of time, or ongoing consultancy, hourly rates can be converted to fixed daily, weekly or monthly fees.
  • For defined reports, such as Company or Share Valuations, a project fee will be agreed with clients.
  • For non-executive board appointments an annual or quarterly fee can be agreed.
  • Board and personnel appointments: SJC do not offer a head-hunter’s search and selection service. However if we can introduce specifically appropriate people for client roles, our fees will be charged at 10% of agreed annual salary or fees of the individual appointed.

Transaction Services / M+A

For vendor or buy-side mandates, our fees are flexible:

A. Payment by results – The success fee model
We charge an agreed retainer for the research and screening period (usually 3 months), followed by a success fee of 2% to 5% of transaction value, depending upon scale of the deal. The success fee is only payable on legal completion of the transaction.

B. Time-only fees
This basis may be appropriate in the following situations:

  • For clients who already have a specific acquirer, merger partner or acquisition target in discussions.
  • Where the prospective transaction’s structure or scale may not lend itself to the success fee basis.
  • For MBO situations or where the client does not require full transaction management but occasional advice and support only.

 

C. Combination of time and success model
Certain transactions will lend themselves to this approach and we can discuss a variation of the time fees and success fee bases if required.
